These Terms of Use ("Terms") govern your access to and use of the Folio AI software, application, and digital platform (hereinafter referred to as "Folio") provided by Quantus Labs Ltd ("we", "us", or "our"), as well as the web services offered through www.folioai.com and all related features and functionalities (collectively, the "Services").

By accessing or using Folio, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

Folio is a digital workspace designed for small and medium-sized businesses, individual sellers, and independent business owners, enabling the creation, management, and sharing of products and related content.

Folio allows users to create, edit, and structure products in one place; enhance written and visual content using AI-powered tools; and generate digital product catalogues, private or public showcases, and shareable assets.

The Services may be accessed via mobile applications and/or the web interface available at www.folioai.com, which may be used together or separately.

While we make commercially reasonable efforts to ensure high availability of the Services, we do not guarantee uninterrupted, error-free, or continuous operation. We reserve the right to modify, enhance, suspend, or discontinue any part of the Services, subject to providing reasonable notice where appropriate.

To use Folio, you must provide accurate, current, and complete information during registration. You may use the Services for individual or commercial purposes and confirm that you are at least 18 years old.

You are responsible for all activities conducted through your account. You are solely responsible for maintaining the confidentiality of your login credentials and for preventing unauthorised access. You agree to notify us immediately if you become aware of or suspect any unauthorised use of your account.

All product images, descriptions, text, brand assets, and other content uploaded to Folio remain your property.

By uploading content, you grant us a non-exclusive, transferable, royalty-free licence to host, process, display, reproduce, distribute, and make technical modifications to such content solely for the purpose of providing the Services. This licence will terminate within a reasonable period following the termination of the Services.

You represent and warrant that you hold all necessary rights to the content you upload and that such content does not infringe any intellectual property, privacy, or other rights of third parties.

All intellectual property rights related to the AI models, algorithms, systems, and technologies provided within Folio are owned by Quantus Labs Ltd. You are granted the right to use the outputs generated by these systems.

AI-generated content is provided for informational and draft purposes only. You are solely responsible for reviewing, verifying, and ensuring the accuracy, suitability, and legal compliance of such content prior to any commercial use.

Quantus Labs Ltd shall not be liable for any outcomes arising from the use of AI-generated content.

Anonymised and aggregated data derived from user interactions may be used to improve and develop AI services.

Uploading or distributing unlawful, misleading, fraudulent, infringing, adult, malicious, or harmful content is strictly prohibited.

You may not reverse engineer, gain unauthorised access to, disrupt, scrape data from, bulk download, or misuse the Services or AI systems in any manner that creates false or misleading representations.

Violation of these rules may result in suspension or termination of your account.

Subscriptions

Pricing and subscription plans are displayed within the application or on www.folioai.com. Subscriptions automatically renew unless cancelled by the user.

Credit System

Folio may operate a credit-based system for certain features. Credit usage is governed by the following principles:

• The Solo Weekly Plan includes 100 credits per week.
• The Solo Annual Plan includes 400 credits per month.
• On average, 3 credits correspond to one image or one second of video generation. This ratio may vary depending on the AI model, content type, or technical requirements.
• Credits included in subscription plans do not roll over and reset at the end of each billing period.
• Credits purchased separately are non-expiring.

Changes and Updates

Quantus Labs Ltd reserves the right to modify, update, or limit subscription pricing, package contents, available features, the credit system, AI usage limits, technical capacity, and the scope of the Services at any time.

Such changes become effective upon publication within the application or on www.folioai.com.

Refunds and Payments

Subscription fees are non-refundable. Upon cancellation, users retain access to the Services until the end of the applicable billing period. Mandatory consumer rights remain unaffected.

No refunds will be issued for credits used to generate content that does not meet expectations due to technical limitations or user preferences.

All payments are processed securely via authorised third-party payment providers.

All software, infrastructure, technology, AI models, algorithms, designs, trademarks, and commercial elements of Folio are the exclusive property of Quantus Labs Ltd.

These Terms do not grant you any intellectual property rights beyond those expressly stated. Ownership of user-provided original content remains with the user.

The Services are provided "as is" without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, Quantus Labs Ltd shall not be liable for any loss of business, revenue, data, or for any indirect, incidental, or consequential damages. Our total liability shall be limited to the subscription fees paid by you for the relevant period.

You may cancel your subscription at any time via the application settings. A reasonable period will be provided for exporting your data prior to account termination.

We may terminate your account upon reasonable notice in the event of a breach of these Terms, at least 12 months of inactivity, or permanent discontinuation of the Services.

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

We reserve the right to update these Terms from time to time. Material changes will be communicated via in-app notifications, email, or our website. Continued use of the Services constitutes acceptance of the updated Terms.
